Venice Submission Credits — Official Terms & Conditions

1. What These Terms Cover

These Terms of Award & Use ("Credit Terms") govern any promotional platform credits ("Venice Credits" or "Credits") that Venice may, in its sole discretion, choose to make available to filmmakers, entrants, or other participants ("Recipient," "you") in connection with the Lumara AI Film Festival (the "Festival"). These Credit Terms are separate from, and in addition to, the Festival's Official Terms & Conditions and Venice's standard Terms of Service, Privacy Policy, and Acceptable Use Policy (collectively, the "Venice Terms"). By requesting, accepting, or using any Venice Credits, you agree to these Credit Terms in full.

2. Credits Are Discretionary — No Right or Entitlement

2.1 Fully discretionary. Venice has sole and absolute discretion over every aspect of the credit program, including whether to offer Credits at all, who receives them, how many, in what form, on what conditions, and for how long. No person is entitled to Credits.

2.2 Zero is a valid outcome. Nothing in these Credit Terms, the Festival materials, any marketing, or any communication obligates Venice to issue any Credits to any person or in any amount. Venice may issue Credits to some Recipients and not others, in unequal amounts, or issue none at all, for any reason or no reason.

2.3 Not a prize or consideration. Venice Credits are a discretionary promotional benefit. They are not a Festival prize, award, wage, payment, or consideration, are not offered in exchange for entry or any submission fee, and do not constitute a contest or sweepstakes offering. Participation in the Festival does not earn, guarantee, or create any expectation of Credits.

2.4 No reliance. You may not rely on any expectation of receiving Credits in deciding to enter the Festival, create a Work, or take any other action. Any statements about potential Credits are non-binding indications of intent only.

3. Eligibility & Selection

3.1 Venice may set, change, or waive any eligibility criteria at any time. Venice may require identity verification, a valid Venice account in good standing, and agreement to the Venice Terms as a condition of receiving Credits.

3.2 Credits are void where prohibited and are not available to any person or in any jurisdiction subject to applicable sanctions, export controls, or other legal restrictions. Venice may decline to issue Credits to comply with law or its internal policies.

3.3 Venice's selection decisions are final and not subject to appeal or review.

4. Nature and Use of Credits

4.1 Promotional value only. Credits have no cash value, are not money, are not stored value, and are not redeemable for cash, refund, or transfer. Credits may be applied only toward eligible Venice products or services as Venice designates, and only through the Venice account Venice specifies.

4.2 Non-transferable. Credits are personal to the Recipient. They may not be sold, assigned, transferred, gifted, pooled, combined with another account, or used by anyone other than the Recipient, except as Venice expressly permits in writing.

4.3 Limits and conditions. Venice may cap the amount, set a per-account limit, restrict which features or tiers Credits apply to, and impose any other usage conditions. Credits may not be combined with other offers unless Venice states otherwise.

4.4 Expiration. Credits expire on the date Venice specifies or, if none is specified, [90] days after issuance. Expired, unused, or forfeited Credits have no value and will not be reissued or reimbursed.

5. Revocation, Forfeiture & Clawback

5.1 Venice may suspend, reduce, cancel, revoke, or claw back any Credits — issued or promised, used or unused — at any time, with or without notice, for any reason or no reason, including suspected fraud, abuse, violation of the Venice Terms or these Credit Terms, ineligibility, or reversal of the underlying Festival decision.

5.2 If Venice determines Credits were obtained or used through fraud, misrepresentation, automation abuse, account sharing, or any breach, Venice may revoke the Credits, disable the account, and pursue any remedy available at law. You agree to repay or account for the value of any Credits used in violation of these Credit Terms.

5.3 Forfeited or revoked Credits are not refundable or exchangeable and create no liability for Venice.

6. Taxes

Any tax consequences arising from receiving or using Credits are the Recipient's sole responsibility. Recipients are responsible for reporting and paying any applicable taxes and for providing any tax documentation Venice reasonably requests as a condition of issuance.

7. Program Changes & Termination

Venice may modify, suspend, or terminate the credit program, or amend these Credit Terms, in whole or in part, at any time and without notice or liability. Continued use of Credits after any change constitutes acceptance of the revised Credit Terms.

8. No Warranty

Credits and any Venice products or services accessed with them are provided "as is" and "as available," without warranty of any kind. Venice does not warrant uninterrupted availability, specific results, or fitness for any purpose. Use of Venice products remains governed by the Venice Terms.

9. Limitation of Liability

To the fullest extent permitted by law, Venice is not liable for any direct, indirect, incidental, consequential, or special damages arising from the offer, issuance, denial, revocation, expiration, or use of Credits. Venice's total aggregate liability relating to Credits will not exceed [USD $0 / the lesser of the face value of the affected Credits or USD $50]. Nothing here limits liability that cannot be limited under applicable law.

10. No Endorsement or Obligation

Receiving Credits does not create any partnership, employment, agency, sponsorship, or endorsement relationship between Venice and the Recipient. Venice is under no obligation to feature, promote, screen, or associate with any Recipient or their Work.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Contest will be resolved exclusively in the state and federal courts located in Sheridan County, Wyoming, United States, or, at the Organizer's election, by binding arbitration administered by the International Centre for Dispute Resolution (ICDR) under its International Arbitration Rules, with the seat of arbitration in Wyoming, United States. Entrants outside the United States expressly consent to this jurisdiction and waive any objection to venue or personal jurisdiction on the basis of inconvenient forum. This Section 13 applies equally to any dispute between an Entrant and an Organizer arising out of or relating to the Festival, the Contest, or these Terms.

12. General

12.1 These Credit Terms, together with the applicable Venice Terms, are the entire agreement regarding Venice Credits and supersede any prior statement, marketing, or understanding.

12.2 If any provision is held unenforceable, the remainder stays in effect.

12.3 Venice's failure to enforce any provision is not a waiver of it.

12.4 In the event of any conflict between these Credit Terms and any other Festival materials regarding Credits, these Credit Terms control.
